Terms of using Aleva

What Aleva is, and isn't
Aleva is a software workspace for small investor partnerships to organize their own deal evaluation, decisions, and post-decision tracking. It is an information platform — a place for your partnership's notes, documents, and coordination. It is not a marketplace, not a broker, not a fund administrator, not a transaction service, and not investment advice.
Nothing displayed in Aleva is a recommendation to invest, an offer to sell securities, or a solicitation to buy. The software organizes information you and your partners decide to put into it.
Money flow — there is none
Aleva does not handle money. We do not hold investor capital, execute trades, route wires, manage escrow, calculate carry, or charge transaction fees. Capital calls and K-1s tracked in Aleva are records of money movement that happens entirely outside Aleva (wire from your bank to a sponsor, K-1 issued by a fund, etc).
Aleva charges a flat subscription fee per partnership. Subscription is the only revenue model.
Your account
You agree to provide an accurate email and to keep your sign-in credentials private. If your account is compromised, contact accounts@aleva.io immediately. You're responsible for activity that occurs under your account; Aleva isn't.
Your data
You retain ownership of every deal, document, comment, decision, and partnership record you put into Aleva. Aleva stores and processes that data on your behalf so you can use the product. We don't train AI on it, sell it, or share it with anyone outside the explicit subprocessors listed in our Privacy policy.
You're responsible for what you upload. Don't paste things you don't have a right to share with your partnership members. Don't use Aleva to process material non-public information you're not authorized to handle.
AI extraction and summarization
Aleva uses AI (Anthropic Claude, OpenAI for embeddings) to extract structured fields from documents you upload (capital calls, K-1s) and to summarize decks. AI extraction is a starting point — every parsed value requires human verification before it's treated as trusted data on the obligation calendar or in a partnership view. Don't act on an unverified AI extraction. The extraction status is shown next to every parsed row.
Acceptable use
You agree not to:
- Use Aleva to organize, advertise, or solicit a public deal flow.
- Upload or transmit content you don't have a right to share with the partnership's members.
- Reverse-engineer, scrape, or attempt to access another partnership's data.
- Forward fake or impersonating emails to deal forwarding addresses to manipulate parsed extractions.
- Use Aleva for activity prohibited by US securities law in your jurisdiction.
We reserve the right to suspend or terminate accounts that violate any of the above, or that we reasonably believe are being used to harm other users.
Service availability
Aleva is delivered “as is.” We aim for high availability and routinely back up your data, but we make no uptime guarantees during the current beta phase. We will notify partnership owners about planned maintenance and significant unplanned outages by email when reasonably possible.
Liability
To the maximum extent permitted by law, Aleva and its operators are not liable for indirect, incidental, special, or consequential damages arising out of your use of the service — including investment outcomes, missed obligations, parsed values that turned out to be wrong, or disclosures you made inside Aleva that turned out badly. Aleva organizes information; the decisions are yours.
Our total cumulative liability for any claim related to the service is limited to the subscription fees you've paid to Aleva in the twelve months before the claim arose.
Termination
You can terminate your account at any time; your partnership data remains accessible to other partnership members unless they also terminate. Aleva can terminate accounts for violation of these terms or for non-payment.
If your account is terminated, you can request an export of your data within 30 days; after that, deleted records may be permanently purged.
Governing law
These terms are governed by the laws of Delaware, USA. Any dispute that can't be resolved by direct conversation will be heard in the state or federal courts of New Castle County, Delaware.
Changes
When these terms change meaningfully, we'll email partnership owners and update the “last updated” date above. Continued use of Aleva after an update means you accept the new terms. If you don't, you can terminate your account.
